Company Information

Sivaiah Technologies Inc. (“BetterDesks”, “we”, “us”, or “our”) provides the BetterDesks platform. If you have any questions regarding these Terms, you can contact us at legal@betterdesks.com.

Operational Scope of the Service

BetterDesks provides a workforce management platform including scheduling, time tracking, and operational tools.

You acknowledge that:

• BetterDesks is a software provider only
• BetterDesks is not an employer, staffing agency, or payroll provider
• You are solely responsible for compliance with:
• Employment laws
• Payroll obligations
• Privacy laws
• Union or contractual obligations

Customer Data & Role

You retain all rights, title, and interest in your data.

• You are the data controller
• BetterDesks acts as a service provider (data processor)

You are responsible for:

• Ensuring lawful collection and use of personal information
• Obtaining required employee consents
• Responding to data subject requests

Accounts & Access

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities under your account
• Managing user access (adding/removing employees or contractors)

You must notify us immediately of any unauthorized access or security breach.

Billing & Payments

• The Service is billed based on active user seats
• Charges are applied on a monthly basis
• Additional users beyond a single-user account may trigger billing

If payment fails:

• We may immediately suspend access to the Service

We may offer free trials or promotions from time to time at our discretion.

Unless otherwise stated, fees are non-refundable.

Acceptable Use

You agree not to:

• Use the Service in violation of any laws or regulations
• Track individuals without proper authorization or consent
• Upload or store unlawful, fraudulent, or infringing content
• Attempt to reverse engineer, disrupt, or compromise the Service
• Misuse geolocation or attendance tracking features

You are responsible for ensuring your use complies with applicable employment and privacy laws.

Geofencing & Data Accuracy

BetterDesks may use location-based data to support attendance tracking.

You acknowledge:

• GPS and location data may be subject to inaccuracies
• Network limitations may affect data reliability

You remain responsible for reviewing and validating data before using it for payroll or compliance purposes.

Intellectual Property

The Service, including all software, features, and content, is owned by Sivaiah Technologies Inc.

You are granted a limited, non-exclusive, non-transferable license to use the Service.

You may not:

• Copy, modify, or distribute the Service
• Create derivative works
• Use the Service beyond its intended purpose

Suspension & Termination

We may suspend or terminate your access if:

• You violate these Terms
• Payment is not received
• Your use creates legal or security risk

You may terminate your account at any time.

Upon termination:

• You may export your data for up to 30 days
• Data may be retained thereafter in accordance with our policies and legal obligations

Service Availability

The Service is provided on an "as is" and "as available" basis.

We do not guarantee:

• Uninterrupted or error-free operation
• Accuracy or reliability of data
• Continuous availability of any feature

Limitation of Liability

To the maximum extent permitted by law:

• BetterDesks is not liable for indirect, incidental, or consequential damages
• This includes loss of profits, data, or business operations

Our total liability is limited to:

The amount paid by you in the 12 months preceding the claim

Indemnification

You agree to indemnify and hold harmless BetterDesks from any claims, damages, or liabilities arising from:

• Your use of the Service
• Your violation of laws or regulations
• Your handling of employee or personal data

Governing Law

These Terms are governed by:

• The laws of the Province of Ontario
• The federal laws of Canada applicable therein

Any disputes shall be resolved in the courts of the Region of Waterloo, Ontario.

Changes to These Terms

We may update these Terms from time to time.

Your continued use of the Service constitutes acceptance of the updated Terms.
